Affiliate Program Terms

These Affiliate Program Terms (“Affiliate Terms”) govern participation in the affiliate program operated by Wiki, a company organized under the laws of the State of Montana(“Wiki,” “Company,” “we,” “us,” or “our”). By applying to or participating in the program, you (“Partner,” “you,” or “your”) agree to be bound by these Affiliate Terms, our Terms of Service, and our Affiliate Disclosure Guidelines.

1. Program Overview

The Wiki affiliate program allows approved Partners to refer new customers using tracked referral links and approved marketing materials. Commissions are earned on qualifying referred customers according to the commission structure communicated upon approval and these Affiliate Terms.

2. Eligibility and Application

Participation requires approval by Wiki in its sole discretion. Wiki may reject or revoke applications from individuals or entities that do not align with program standards, including those with histories of fraudulent marketing, trademark abuse, or policy violations. You represent that all information provided in your application is accurate and complete.

3. Commission Structure

Commission rates, types (percentage or flat fee), recurring duration, hold periods, cookie attribution windows, and eligibility rules are configured by Wiki and may vary by Partner, campaign, or promotional coupon. Specific rates communicated on public marketing pages are illustrative only and are superseded by your partner agreement upon approval. Wiki reserves the right to modify commission structures upon reasonable notice.

4. Attribution

Attribution is tracked server-side using referral links and cookies for a configurable attribution window. Wiki supports first-touch or last-touch attribution as configured in program settings. Attribution does not apply to self-referrals, duplicate accounts, fraudulent traffic, or referrals that violate these Affiliate Terms. Wiki’s attribution determination is final.

5. Payouts

Payouts are subject to a minimum balance threshold, commission hold period, successful payout method configuration, and fraud review. Wiki reserves the right to withhold or reverse payouts pending investigation of suspected fraud, chargebacks, or policy violations. Partners are responsible for providing accurate payout and tax information.

6. Prohibited Conduct

Partners may not:

• Engage in self-referrals or referrals from shared billing identities.
• Use spam, cookie stuffing, incentivized fraudulent signups, or misleading traffic sources.
• Make false, unsubstantiated, or guaranteed-outcome claims about Wiki.
• Bid on Wiki trademarks or confusingly similar terms in paid search without written approval.
• Impersonate Wiki staff or use Wiki branding without authorization.
• Violate FTC endorsement guidelines or applicable advertising laws.
• Violate Wiki’s Acceptable Use Policy or Terms of Service.

7. Disclosure Requirements

Partners must comply with our Affiliate Disclosure Guidelines and all applicable endorsement and advertising disclosure laws, including FTC guidelines. Failure to disclose the commercial relationship clearly and conspicuously is grounds for immediate termination.

8. Refunds, Chargebacks, and Reversals

Commissions may be reversed, voided, or clawed back if referred payments are refunded, disputed, charged back, or otherwise invalidated. Wiki may offset future payouts against reversed commissions.

9. Intellectual Property License

Wiki grants Partners a limited, non-exclusive, revocable license to use approved Wiki marketing materials solely to promote the Service in compliance with these Affiliate Terms. Partners may not modify Wiki trademarks, create derivative branding, or register domains containing Wiki marks without written consent.

10. Termination

Either party may terminate participation at any time. Wiki may suspend or terminate Partners immediately for policy violations, fraud, or program changes. Upon termination, pending commissions may be forfeited if termination results from Partner breach. Wiki’s termination decision is final with respect to commission eligibility.

11. Tax Responsibilities

Partners are solely responsible for all tax reporting, withholding, and payment obligations arising from commission income. Wiki may require completion of tax documentation (including IRS Form W-9, W-8BEN, or equivalent) before processing payouts where legally required. Wiki will issue applicable tax forms (e.g., Form 1099-NEC) as required by U.S. law.

12. Independent Contractor Status

Partners are independent contractors. Nothing in these Affiliate Terms creates an employment, agency, partnership, or joint venture relationship. Partners have no authority to bind Wiki.

13. Disclaimers and Limitation of Liability

THE AFFILIATE PROGRAM IS PROVIDED “AS IS.” WIKI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. WIKI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM PARTICIPATION IN THE PROGRAM. WIKI’S AGGREGATE LIABILITY SHALL NOT EXCEED COMMISSIONS PAID TO PARTNER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

Partner shall defend, indemnify, and hold harmless Wiki and its officers, directors, employees, and agents from claims arising from Partner’s marketing activities, failure to disclose, violation of these Affiliate Terms, or violation of applicable law.

15. Governing Law and Disputes

These Affiliate Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles. Disputes shall be resolved in accordance with the binding arbitration and class action waiver provisions in Wiki’s Terms of Service.

16. Changes

Wiki may modify these Affiliate Terms at any time. Material changes will be communicated to active Partners. Continued participation after the effective date constitutes acceptance.
