Agreement to Terms

These Terms of Service (“Terms”) constitute a binding legal agreement between you and Wiki, a company organized and existing under the laws of the State of Montana(“Wiki,” “Company,” “we,” “us,” or “our”), governing access to and use of the Wiki website, application programming interfaces, hosted documentation, and all related products and services (collectively, the “Service”).

BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, OR CLICKING TO ACCEPT THESE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

If you enter into these Terms on behalf of a corporation, partnership, or other legal entity, you represent and warrant that you have full legal authority to bind that entity, in which case “you” and “your” refer to that entity.

Eligibility and Authority

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction of residence, whichever is greater, and possess the legal capacity to enter into a binding contract. You may not use the Service if you are prohibited from doing so under applicable law, export control regulations, sanctions programs, or if we have previously suspended or terminated your account for violation of these Terms, our Acceptable Use Policy, or any applicable order form.

The Service is intended for business and professional use. You represent that all registration information you provide is accurate, current, and complete, and you agree to maintain and promptly update such information.

Account Registration and Security

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account, whether or not authorized by you. You agree to implement reasonable administrative and technical safeguards within your organization to prevent unauthorized access.

You must notify us immediately at security@wiki.co upon becoming aware of any unauthorized access, suspected compromise, or security incident involving your account. We reserve the right to suspend or disable accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

Wiki applies commercially reasonable safeguards to protect account access. However, no security measure is infallible, and you acknowledge that you use the Service at your own risk with respect to credential management and internal access controls.

Organizations, Workspaces, and Authorized Users

The Service is structured around organizations and workspaces. Organization owners, founders, and designated administrators control membership, role assignments, billing, configuration settings, and data governance policies. You are solely responsible for all actions taken by users you invite, authorize, or permit to access the Service under your account.

You agree to promptly revoke access for terminated employees, contractors, and other individuals who no longer require access. Wiki is not responsible for internal permission misconfigurations, over-provisioned access, or unauthorized use arising from your failure to manage organizational controls.

Customer Content and Ownership

As between the parties, you retain all right, title, and interest in and to content, data, documents, configurations, policies, test cases, metadata, and other materials that you or your authorized users upload, submit, create, or publish through the Service (“Customer Content”). Wiki acquires no ownership interest in Customer Content.

You represent, warrant, and covenant that: (a) you own or have obtained all rights, licenses, consents, and permissions necessary to upload, store, process, transmit, display, and publish Customer Content through the Service, including for any publicly accessible documentation you elect to publish; (b) Customer Content does not and will not infringe, misappropriate, or violate any third-party intellectual property, privacy, publicity, contractual, or other rights; and (c) your collection, use, and disclosure of personal data within Customer Content complies with all applicable privacy and data protection laws.

License Grant to Wiki

You grant Wiki a non-exclusive, worldwide, royalty-free, sublicensable (solely to service providers acting on our behalf) license to host, store, reproduce, process, transmit, display, and otherwise use Customer Content solely as necessary to provide, maintain, secure, support, and improve the Service, including without limitation for search indexing, verification workflows, answer testing, citation generation, documentation publishing, analytics you enable, backup and disaster recovery, and compliance with applicable law. This license terminates upon deletion of Customer Content from the Service, except to the extent retention is permitted under these Terms or required by law.

Customer Responsibilities

You are solely responsible for: (a) configuring permissions, AI policies, audience controls, documentation visibility, and publishing rules; (b) reviewing Customer Content and AI-generated outputs before reliance, publication, or distribution; (c) ensuring Customer Content and your use of the Service comply with applicable law, industry regulations, and contractual obligations; (d) determining whether and how AI outputs may be used in your business, products, or customer-facing communications; and (e) maintaining appropriate internal review, approval, and quality assurance processes for high-stakes, regulated, or customer-facing use cases.

Wiki provides tools to organize, govern, test, and publish knowledge for AI applications. The Service does not constitute legal, medical, financial, compliance, or professional advice, and does not replace your independent judgment, legal review, or operational controls.

AI-Generated Outputs and Limitations

The Service may generate answers, summaries, citations, recommendations, and related outputs (“AI Outputs”) based on Customer Content, configuration parameters, and third-party model providers you enable. AI Outputs are probabilistic in nature and may be incomplete, inaccurate, outdated, biased, inconsistent, or unsuitable for your intended purpose, regardless of citation or confidence indicators displayed by the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIKI MAKES NO REPRESENTATION OR WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, LEGALITY, OR FITNESS FOR ANY PARTICULAR PURPOSE OF CUSTOMER CONTENT OR AI OUTPUTS. AI OUTPUTS ARE PROVIDED FOR INFORMATIONAL AND ASSISTIVE PURPOSES ONLY AND MUST NOT BE USED AS THE SOLE OR PRIMARY BASIS FOR LEGAL, MEDICAL, FINANCIAL, INVESTMENT, EMPLOYMENT, SAFETY-CRITICAL, SECURITY, OR OTHER HIGH-STAKES DECISIONS WITHOUT INDEPENDENT VERIFICATION AND APPROPRIATE HUMAN REVIEW.

You assume all risk arising from your use of, reliance upon, or distribution of AI Outputs. Wiki shall have no liability for any decisions, actions, or omissions based on AI Outputs.

Prohibited Uses

You may not use the Service in violation of our Acceptable Use Policy, applicable law, or third-party rights. Without limiting the foregoing, prohibited uses include illegal activity, malware distribution, unauthorized access attempts, processing of highly sensitive personal data without appropriate authorization and safeguards, and any use that creates security, legal, or reputational risk to Wiki or other customers.

Acceptable Use

The Acceptable Use Policy is incorporated into these Terms by reference. Violations may result in immediate suspension or termination without refund, in addition to any other remedies available at law or in equity.

Privacy and Data Processing

Our Privacy Policy describes how Wiki collects and uses information when acting as a controller. Where Wiki processes personal data on your behalf, the Data Processing Addendum governs such processing. Contact hello@wiki.co to request an executable DPA or for privacy-related inquiries.

Third-Party Services and Subprocessors

The Service integrates with and relies upon third-party providers, including without limitation payment processors, authentication services, cloud infrastructure providers, email delivery services, and AI model providers. Your use of third-party services may be subject to separate terms and privacy policies. Wiki does not control and is not responsible for third-party services.

A current list of subprocessors is maintained at our Subprocessor page. Wiki may engage additional subprocessors in accordance with the DPA.

Subscriptions, Billing, Trials, and Cancellation

Paid subscriptions, trial periods, usage limits, and plan features are described on our pricing pages and in your account dashboard. Unless otherwise stated in an order form, subscriptions renew automatically for successive billing periods unless canceled prior to the renewal date. You authorize Wiki and its payment processor to charge applicable fees to your designated payment method.

Payment processing is handled by Stripe, Inc. Wiki does not store, process, or have access to full payment card numbers. You are responsible for maintaining valid payment information and for all charges incurred under your account, including charges resulting from authorized user activity.

Auto-renewal disclosure. By subscribing to a paid plan, you acknowledge that your subscription will automatically renew at the then-current rate unless you cancel before the renewal date. You may cancel through billing settings or the Stripe customer portal where available. Cancellation takes effect at the end of the current billing period unless otherwise stated.

Refunds. Except as required by applicable law or expressly stated in an order form, all fees are non-refundable and non-creditable, including for partial billing periods, unused capacity, downgrades, or account termination. Wiki may, in its sole discretion, provide credits or refunds in individual cases without creating any obligation to do so in the future.

We may modify plan features or pricing upon reasonable advance notice. Price changes apply upon renewal unless you cancel before the change takes effect.

Taxes

All fees are exclusive of taxes, levies, duties, and similar governmental assessments, including without limitation value-added, sales, use, and withholding taxes. You are responsible for all such taxes associated with your purchase, excluding taxes based solely on Wiki’s net income. If Wiki is required to collect or remit taxes, such amounts will be invoiced to you unless you provide a valid tax exemption certificate.

Suspension and Termination

Wiki may suspend or terminate your access to the Service immediately, with or without notice, if: (a) you breach these Terms or the Acceptable Use Policy; (b) your use creates security, legal, or operational risk; (c) you fail to pay applicable fees; (d) we are required to do so by law; or (e) we discontinue the Service or applicable features. You may terminate by canceling your subscription and requesting account deletion in accordance with account settings.

Upon termination, your right to access and use the Service ceases immediately. Sections that by their nature should survive termination shall survive, including without limitation provisions relating to ownership, confidentiality, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

Data Export and Post-Termination Access

While your account is active, organization owners and administrators may export organization data through available account tools. Following termination, access to the Service and Customer Content ceases except as required by applicable law or a separate written agreement. Backup copies may persist for a limited period as described in our Privacy Policy and data retention settings before being overwritten or deleted in the ordinary course of business.

Intellectual Property

The Service, including all software, source code, object code, algorithms, user interfaces, designs, documentation, trademarks, service marks, trade names, logos, and other proprietary materials (excluding Customer Content), is and shall remain the exclusive property of Wiki and its licensors, protected by United States and international intellectual property laws. No rights are granted to you except as expressly set forth in these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or create derivative works of the Service except to the extent such restrictions are prohibited by applicable law or expressly permitted in writing by Wiki.

Feedback

If you provide suggestions, ideas, enhancement requests, recommendations, or other feedback regarding the Service (“Feedback”), you hereby assign to Wiki all right, title, and interest in and to such Feedback, and Wiki may use, implement, and commercialize Feedback without restriction, attribution, or compensation to you.

Confidentiality

Each party may receive confidential or proprietary information from the other in connection with the Service. The receiving party shall use at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care, and shall use such information solely for purposes related to the Service. Confidential information does not include information that is publicly available without breach, independently developed, or rightfully received from a third party without restriction. Disclosure may be made as required by law, provided the disclosing party gives reasonable advance notice where permitted.

Beta and Preview Features

From time to time, Wiki may offer beta, preview, experimental, or early-access features (“Beta Features”). Beta Features are provided “AS IS,” may be modified or discontinued at any time without notice, and are excluded from any service level commitments. Your use of Beta Features is at your sole risk.

Export Control and Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to United States embargo or sanctions, and that you are not listed on any United States government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws and regulations in your use of the Service.

Disclaimers

THE SERVICE, INCLUDING ALL AI OUTPUTS, BETA FEATURES, AND RELATED MATERIALS, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIKI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS (COLLECTIVELY, THE “WIKI PARTIES”) EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ACCURACY.

WITHOUT LIMITING THE FOREGOING, WIKI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY WIKI PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR FOR ANY COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WIKI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE WIKI PARTIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO WIKI FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100).

THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnification

You shall defend, indemnify, and hold harmless the Wiki Parties from and against any and all third-party claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to: (a) Customer Content; (b) your use or misuse of the Service, including reliance on AI Outputs; (c) your violation of these Terms, the Acceptable Use Policy, or applicable law; (d) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (e) any dispute between you and your users, customers, or employees relating to the Service or Customer Content.

Wiki shall promptly notify you of any claim subject to indemnification and shall provide reasonable cooperation at your expense. Wiki reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with Wiki’s defense. You may not settle any claim without Wiki’s prior written consent if such settlement imposes any obligation on Wiki or admits liability on Wiki’s behalf.

Force Majeure

Wiki shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, internet or telecommunications failures, power outages, or failures of third-party service providers.

Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without Wiki’s prior written consent. Any attempted assignment in violation of this section is void. Wiki may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets without your consent.

Changes to the Service

Wiki reserves the right to modify, suspend, or discontinue the Service or any feature at any time, with or without notice. Material changes to paid plans will be communicated with reasonable advance notice where practicable and will take effect upon renewal unless you cancel before the effective date.

Changes to These Terms

Wiki may revise these Terms from time to time. The effective date at the top of this page indicates the current version. If changes are material, we will provide notice through the Service, by email, or by other reasonable means. Your continued access to or use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree to revised Terms, you must stop using the Service and cancel your subscription.

Governing Law, Dispute Resolution, and Class Action Waiver

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict-of-law principles.

Binding arbitration. Except for claims that qualify for small claims court or seek injunctive relief for intellectual property infringement or unauthorized access, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Montana, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver.YOU AND WIKI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Jury trial waiver. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

Venue. Subject to the arbitration provisions above, the state and federal courts located in the State of Montana shall have exclusive jurisdiction over any permitted court proceedings, and you consent to personal jurisdiction in such courts.

Miscellaneous

Entire agreement. These Terms, together with the Acceptable Use Policy, Privacy Policy, DPA (where applicable), and any executed order form, constitute the entire agreement between you and Wiki regarding the Service and supersede all prior or contemporaneous agreements, representations, and understandings.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

No waiver.Wiki’s failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

No third-party beneficiaries. These Terms do not confer any rights on any third party except as expressly stated.

Notices. Wiki may provide notices through the Service, by email to the address associated with your account, or by posting on our website. Legal notices to Wiki must be sent to hello@wiki.co.
